By requesting, accepting, or otherwise utilizing the Services, the Client confirms that they have read, understood, and agree to be bound by these Terms.

1. Scope of Our Services

The Service Provider shall deliver development services in accordance with the terms mutually agreed upon with the Client. All details related to the Services — including, but not limited to, deliverables, timelines, schedules, and performance milestones — will be clearly defined within a separate Developer Service Agreement and/or Statement of Work.

The Service Provider reserves the right to outsource or subcontract any portion of the Services to qualified third-party professionals, provided that such delegation does not compromise the agreed standards of quality or the timely completion of the Services.

2. Payment & Fees

We adhere to a transparent, no-surprise billing approach to ensure complete clarity for our Clients.

• All fees, charges, and payment schedules will be clearly defined in the applicable Service Agreement.
• Payments are non-refundable unless expressly stated otherwise in the Agreement.
• Payments shall be made through the methods specified in your Service Agreement, and invoices will be issued according to the mutually agreed billing schedule.

3. Intellectual Property

The Client shall retain sole ownership of all intellectual property rights in any materials, data, or content provided to ChanakyaSoftwares.com for the purpose of performing the Services.

All intellectual property created during the course of delivering the Services — including, but not limited to, software code, design assets, documentation, and related deliverables — shall become the exclusive property of the Client upon full settlement of all applicable fees.

4. Confidentiality

We handle your information with the highest level of security and confidentiality. This means:
We will not disclose or share your information with any third party without your explicit written consent.
We will safeguard all proprietary and confidential information in accordance with the terms outlined in your Service Agreement or any applicable Non-Disclosure Agreement (NDA).

6. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the performance of the Services shall first be addressed through sincere and good-faith discussions between the parties.

If such discussions do not lead to a resolution, the parties agree to submit the matter to mediation before initiating any formal legal proceedings.

7. Refund & Cancellation

We understand that plans may change, and we offer a fair and transparent cancellation policy:
Before work begins: A full refund will be issued.
After work has started but before completion: A pro-rated refund will be provided based on the portion of work already completed.
After project completion: No refunds are available.
You may cancel the Services at any time by emailing us at info@chanakyasoftwares.com. The Service Provider also reserves the right to cancel the Services if the Client breaches these Terms or fails to make required payments.

8. Limitation of Liability

We are committed to delivering value while minimizing risk for both parties. Accordingly:
We shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the Services.
Our total aggregate liability for any claim shall be limited to the amount the Client has paid to us for the specific Services giving rise to the claim.

9. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Kolkata, India, without regard to any principles relating to conflicts of law.

10. Changes to These Terms

The Service Provider reserves the right to modify or update these Terms at its sole discretion at any time. It is the Client’s responsibility to periodically review the Terms of Service while engaging with or using the Services. Continued use of the Services following any updates or modifications shall constitute the Client’s acceptance of the revised Terms.
